Terms of service

The agreement between you and Avanti Mind Ltd covering the website, the app, the platform and the robots.

Designed in Britain, answerable in Britain.

This document is plain-English drafting copy. It will be reviewed and finalised by a qualified solicitor before publication. It will be dated when published following solicitor review.

1Introduction

Avanti Mind Ltd is a company registered in England and Wales (company number 16049394, registered office: The Venture Centre, Sir William Lyons Road, University of Warwick Science Park, Coventry, England, CV4 7EZ). In these terms, 'Avanti', 'we', 'us' and 'our' mean Avanti Mind Ltd; 'you' and 'your' mean the person or organisation using our products or this website.

By using this website, our app, our platform or our robots, you agree to these terms. If you do not agree with them, please do not use them.

2A note on our current stage

Avanti Robotics is in active development. At present, this website provides information about our products, lets you join a waitlist, and lets you contact us. Our robots are not yet on sale and the fleet platform is not yet open to new customers.

Where these terms describe buying a robot, taking a subscription, or using the platform, those sections apply once those products are available. They are set out now so you can see the basis on which our products will be offered. We will confirm the final terms with you at the point you make a purchase or start a subscription.

3Using this website

You may use this website for lawful purposes only. You agree not to:

  • use the website in any way that breaks the law or any regulation;
  • attempt to gain unauthorised access to the website, its servers, or any connected systems;
  • interfere with the website's normal operation, or introduce anything malicious;
  • or copy, reproduce or redistribute the website's content other than as reasonably needed to use the site as intended.

The content of this website — text, design, logos and the Avanti and Avanti Robotics brands — belongs to Avanti Mind Ltd or its licensors and is protected by intellectual property law.

4Joining the waitlist and receiving updates

When you join the waitlist or subscribe to updates, you give us your email address and any other details you choose to provide. We use them to keep you informed about Avanti Robotics, as described in our privacy policy.

Joining the waitlist places no obligation on you. It is not an order, it is not a contract to buy, and no payment is taken. You can ask to be removed from the waitlist, or unsubscribe from updates, at any time.

5Buying an Avanti robot

Once robots are available:

The contract
When you place an order, you make an offer to buy. A contract is formed when we confirm acceptance of your order. We will set out the price, the product and the delivery terms before you confirm your purchase.
Price and payment
Prices will be stated clearly at the point of sale, including VAT. Payment is taken through our payment provider.
Delivery
We will provide expected delivery information at the point of sale.
Your statutory rights
Because we sell to consumers in the UK, you have rights under UK consumer law, including the Consumer Rights Act 2015 and the Consumer Contracts Regulations. These include a right to cancel a distance purchase within the statutory period, and rights if a product is faulty, not as described, or not of satisfactory quality. Nothing in these terms reduces those rights.
Warranty
The full warranty terms for each robot will be published with the product.

6Subscriptions

6.1 Consumer subscriptions

Avanti home robots work on a Free subscription tier with no payment. The Plus and Premium tiers are paid subscriptions that unlock additional features. Paid subscriptions are billed monthly or annually, in advance, depending on the option you choose. You may change tier or cancel at any time. If you cancel a paid subscription, your robot continues to work on the Free tier.

6.2 Business subscriptions

The fleet platform is offered on per-robot, per-month subscription plans (Starter, Professional and Enterprise tiers), with an optional free trial. Business subscriptions have no minimum term. Billing is based on the number of robots in your fleet, and the billed quantity adjusts as you add or remove robots. Each robot's entitlement includes a grace period, so a brief payment failure does not immediately interrupt your operation.

6.3 Changes to subscription pricing

We may change subscription prices. If we change the price of a subscription you hold, we will give you reasonable advance notice, and the change will take effect from your next billing period. You may cancel before a price change takes effect.

7Acceptable use of the app and platform

When you use the companion app or the fleet platform, you agree to:

  • provide accurate account information and keep your login credentials secure;
  • use the app or platform only for lawful purposes, and in line with these terms;
  • not attempt to access another user's or another organisation's data;
  • not attempt to disrupt, reverse-engineer, or gain unauthorised access to the platform;
  • and not use the platform to infringe anyone's privacy or other rights — for example, by using a robot's camera or microphone to monitor someone without a lawful basis to do so.

You are responsible for activity carried out under your account. For business customers, the account owner is responsible for the users they invite and the roles they assign, and for ensuring their organisation's use of robots complies with the law — including data protection law where robots capture images, audio or location data.

8Robot operation and connectivity

Avanti robots are designed to perform their core functions on the device, without an internet connection. Connectivity enables additional features — live video, real-time alerts, the dashboard, and over-the-air updates. You understand and accept that:

  • some features depend on an internet connection and on third-party networks and services, and may be unavailable if connectivity is interrupted;
  • a robot must connect periodically to receive security and software updates and to maintain its device certificate;
  • and a robot is a physical device operating in a real environment, and you are responsible for using it safely and in line with the guidance we provide.

9Software updates

We provide over-the-air updates to improve the robots and the platform. By using our products, you agree that we may deliver these updates. Updates are cryptographically signed and verified by the robot before they are applied. Some updates may be necessary for security or continued operation.

10Intellectual property

All software, designs, content, the Avanti and Avanti Robotics brands, and other intellectual property in our products, the platform and this website belong to Avanti Mind Ltd or its licensors.

When you buy a robot, you own that physical robot. The software that runs on it and on the platform is licensed to you, not sold — you receive a personal, non-transferable, revocable licence to use it for the intended purpose, for as long as you comply with these terms.

You retain ownership of the data you and your robots generate. You grant us the permissions we need to process that data to provide the products and the services described in our privacy policy.

11Availability and our responsibilities

We work to keep the website, app and platform available and working well, but we cannot guarantee uninterrupted availability. We may suspend access for maintenance, updates, or for reasons outside our reasonable control. We provide our products and services with reasonable care and skill, as UK law requires. Where we offer service-level commitments to business customers, those will be set out in the relevant plan terms.

12Limitation of liability

Nothing in these terms limits or excludes our liability where it would be unlawful to do so — including liability for death or personal injury caused by our negligence, for fraud, or for any of your statutory rights as a consumer that cannot be excluded.

Subject to that:

  • we are not liable for losses that were not reasonably foreseeable, or for losses not caused by any breach on our part;
  • for business customers, our liability arising out of or in connection with these terms will be limited as set out in the applicable plan terms;
  • we are not responsible for failures caused by third-party networks, internet connectivity, or events outside our reasonable control.

13Suspension and termination

You may stop using the website at any time, and you may close your account or cancel a subscription as described in Section 6. We may suspend or end your access to the app or platform if you break these terms in a serious way — for example, by attempting to access others' data or by using a robot unlawfully. Where it is reasonable to do so, we will warn you first and give you a chance to put things right.

14Changes to these terms

We may update these terms as our products develop or as the law changes. When we make a significant change, we will update the 'last updated' date and, where appropriate, let you know directly. Continued use of our products or this website after a change means you accept the updated terms.

15Governing law

These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction over any dispute — except that, if you are a consumer resident elsewhere in the UK, you may also bring proceedings in the courts of the part of the UK in which you live.
